Navigating the complexities of venture capital (VC) investment agreements can be a daunting task for founders, as these agreements significantly impact the future of their companies. Our seminar with Faith Sing (fsLAW), a boutique business law firm, aimed to demystify these complexities for biotech and medtech founders.

The event featured invaluable insights from our Executive Director, A/Prof Yen Choo, and industry experts Jason Thomas Ng (ClavystBio); Cairan He (VenturebBlick); and Srinivas Bhylahalli (Trisail Medical and Intellimed Healthcare), who shared their experiences from legal, investment, and startup perspectives. They highlighted common pitfalls, strategic considerations, and personal anecdotes to help founders avoid mistakes they have encountered.

For a good starting point, founders were advised to refer to the Singapore Venture & Private Capital Association’s website, which provides free access to Singapore’s Venture Capital Investment Model Agreements (VIMA) Series A and pre-Series A model legal documents. These resources offer a foundational understanding of the agreements’ components.
